Structure of authorized capital

Quantity, type of registered (declared) shares - 5,000,086,550 ordinary shares.

The number of announced but not placed shares is 3,493,990,577 common shares.

The number of placed shares is 1,506,095,973 ordinary shares.

The nominal value of one share (when paid by the founders) is 1,000 (one thousand) tenge.

The composition of shareholders:

The sole shareholder of the Holding is the Government of the Republic of Kazakhstan represented by the Committee of State Property and Privatization of the Republic of Kazakhstan.
On June 26, 2013, the ownership and use rights of the state holding of shares of the Holding were transferred to the Ministry of Industry and New Technologies of the Republic of Kazakhstan. 

On April 27, 2021, the rights to own and use the Baiterek Holding’s state block of shares were transferred to the Ministry of National Economy of the Republic of Kazakhstan following the Decree of the Government of the Republic of Kazakhstan #174 “On Baiterek National Managing Holding JSC”, dated March 30, 2021.

Thus, the Ministry of National Economy of the Republic of Kazakhstan solves issues, which are under competence of the Holding’s Sole Shareholder according to the laws and the Issuer's Charter. The decisions are reflected in the orders of authorized persons of the Ministry of National Economy of the Republic of Kazakhstan.

Rights granted by shares:

1) the right to make decisions on all issues submitted for consideration by the Sole Shareholder in accordance with the Laws “On State Property” and “On Joint-Stock Companies”;
2) the right to receive dividends if the Holding has a net income;
3) the right to receive the property of the Holding upon its liquidation in the manner prescribed by the legislation of the Republic of Kazakhstan.
