Vacant position title: Independent Director
Company name: Board of Directors of Agrarian Credit Corporation JSC (hereinafter – the Company)
1. General Requirements for an Independent Director
1.1. A candidate nominated for election as an Independent Director to the Board of Directors must:
1.1.1. Meet the definition of an independent director as prescribed by the Law of the Republic of Kazakhstan “On Joint Stock Companies”.
1.1.2. Possess a general understanding of key issues relevant to organizations similar in size and nature of operations to the Company; have international experience in a comparable industry/sector; have at least 2 (two) years of professional experience immediately prior to nomination; and demonstrate understanding of:
the legal requirements applicable to the Company;
the competitive environment in both national and international markets.
1.1.3. Be capable of analyzing and objectively evaluating information provided, forming an independent opinion based on principles of legality, fairness, and equal treatment of all shareholders; able to articulate and substantiate their views.
1.1.4. Be knowledgeable in corporate governance and sustainable development principles.
1.1.5. Have an impeccable reputation and/or a track record of positive achievements in the business and/or industry community. The candidate must not have any record of criminal offenses in the field of economic activity or administrative offenses in the area of entrepreneurship.
1.1.6. Have sufficient time to participate fully in the work of the Board of Directors, including both attendance at meetings and adequate preparation.
1.1.7. Not serve on more than 3 (three) other boards of directors.
1.1.8. Annually confirm their independence and notify the Company in the event of loss of independent director status.
2. Special Requirements
2.1.1. Candidates must meet the requirements established by the National Bank of the Republic of Kazakhstan.
2.2.1. Higher education in economics and/or finance, and additional education/professional certification in financial management, financial analysis, accounting, taxation, auditing, or risk management.
2.2.2. At least 7 years of relevant work experience.
2.2.3. At least 3 (three) years of experience in management or executive positions within financial institutions, holding companies, government agencies, international financial institutions, or regulatory bodies, and/or experience as a manager or partner in firms providing financial audit or compliance services.
2.3.1. Higher education and/or an MBA/PhD and/or additional education in management; knowledge in human resource management theory or social development.
2.3.2. At least 3 (three) years of experience in management or executive roles within holding structures or national companies, and/or experience in management/executive positions or as a head/partner in companies specializing in business or HR consulting, and/or as an HR Director or head of a unit responsible for HR legal expertise/corporate conflict resolution in Kazakhstani or international companies with annual revenue of at least USD 20 million.
2.3.3. At least 5 years of leadership experience or experience managing senior and mid-level personnel.
2.4.1. Higher education in finance, corporate finance, investment management, or investment analysis; additional education or professional certification in accounting, risk management, or finance.
2.4.2. Knowledge in evaluating investment project efficiency, portfolio management principles, investment valuation methods, and financial reporting standards.
2.4.3. At least 7 years of professional experience in investment activities.
2.4.4. At least 3 (three) years of experience in governance, executive, or leadership positions (roles involving coordination of departments and authority to sign financial documents) within financial institutions, holding structures, government bodies, international development banks, international financial or insurance companies, or Kazakhstani/international companies engaged in investment or IPO activities, with annual revenue of at least USD 20 million.
2.5.1. Higher technical, economic, financial, or management education; additional training in innovation management.
2.5.2. At least 7 years of total work experience, including at least 3 years in leadership or expert roles in innovation management.
2.5.3. Knowledge and practical experience in evaluating innovation development and implementation efficiency; knowledge of organizing and financing R&D activities.
2.5.4. Experience in managing investment projects, implementing new ideas, initiating their practical application and turning them into viable, profitable products; and/or experience in developing high-tech products up to commercially viable consumer goods with unique features.
2.5.5. Knowledge of the current state of priority and base industries in Kazakhstan, as well as the innovation market, for identifying and assessing market needs.
2.6.1. Higher education; additional education in management, finance, or law.
2.6.2. Knowledge of Kazakhstani legislation on entrepreneurship.
2.6.3. At least 7 years of total professional experience, including at least 3 years in managerial roles within medium-sized businesses.
2.6.4. Experience in founding or managing (as owner, partner, board/executive member, or CEO) a successful medium-sized enterprise that has operated for at least 5 years, offering competitive products and/or high-quality and in-demand services.
